Yes. In the European Union, the resale of perpetual software licences is protected by the UsedSoft ruling of the Court of Justice of the EU (case C-128/11, 3 July 2012). Under this ruling, once a perpetual licence has been sold, the manufacturer's distribution right is exhausted and the licence can be lawfully transferred to a new owner, who uses it with full rights. You also receive a full invoice issued by an EU company.
Yes, always, with your company's tax details. If your company is in another EU country and has an intra-EU VAT number that is valid in VIES, the invoice is issued without VAT (reverse charge).
